Legal Services

Morton PLLC is a business-oriented law firm with service offerings including the following:

  • Finance and related securities law compliance
  • Securities law counseling, including Sarbanes Oxley compliance, for public companies
  • Purchases and sales of businesses
  • Negotiation and drafting of a wide variety of agreements and contracts in addition to finance and mergers and acquisitions, including manufacturing, R&D and licensing
  • Owner dispute resolution and split-ups
  • Legal counsel for individual shareholders
  • Oversight of specialized legal functions provided by other counsel, such as patent law, tax law, labor & employment, and litigation (See “Outside General Counsel” for more information)

Because of our focus, we often advise our clients to seek the advice of a specialist outside our firm. We have excellent relationships with a number of specialists in other firms, including international firms with offices in Dallas, and we also can collaborate with the client’s preferred specialist.

While many of our services are provided to corporate clients, we also provide personal advisory services, especially to clients with a potential to encounter significant corporate or securities law compliance issues. Some common situations in which individuals can benefit from having legal representation include:

  • Minority shareholders without representation - In many cases, company counsel will be unable to provide objective advice to minority owners due to a conflict of interest. Individual shareholders can greatly benefit from having access to unbiased legal advice, both to understand the implications of the company's actions on their interests and also to understand their rights and protections under the law.
  • Individual stakeholders with restricted or illiquid positions - For stakeholders in corporations that have recently gone through a public offering, individual stakeholders with restricted positions can benefit from having legal counsel help ensure their actions are compliant with SEC regulations and, where possible, they can take advantage of opportunities to reduce their personal risk and exposure due to an over-concentration of assets in ownership of a single entity.
  • Individuals engaged in disputes with business partners - Understanding the legal protections and recourse afforded to individuals engaged in such disputes can be of great value when trying to resolve the conflict by negotiation. In the event that the dispute cannot be resolved through negotiation, litigation and/or a dissolution of the business entity may become necessary.
  • Unbiased counsel for high-net worth individuals - High net worth individuals going through the process of selecting estate planning or wealth management service providers can benefit greatly from unbiased counsel from an attorney experienced in guiding other clients through the process.

Fees:

Given that our overhead is materially lower than that of many firms, we are able to offer hourly rates that are commensurately lower.
For clients retaining us as outside general counsel with a relatively large and recurring need for legal work, Morton PLLC can offer discounted hourly rates applicable to monthly deposits, and perform some services without charge (attending regularly scheduled board meetings, for example). For deposits that fund services provided at those discounted rates, unused but prepaid hours will roll over to subsequent months for a stated maximum period.
The firm may require a deposit from new clients before any legal work is performed.
